Please read these Terms carefully before using the GoodCoin & Eleos donation platform.

1. Acceptance of terms
By accessing or using the GoodCoin & Eleos website, donation platform, or related services (collectively, the "Service") you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and legally capable of entering binding contracts in your jurisdiction. By using the Service, you represent that you meet these requirements and that your use of the Service does not violate any applicable law or regulation.
3. Donations
3.1 Donor responsibilities
- You are solely responsible for the accuracy of donation information you submit, including charity selection, amount, and contact details.
- Cryptocurrency donations are irrevocable once confirmed on the blockchain. Please verify all details before submitting.
- You are responsible for understanding the tax treatment of charitable contributions in your jurisdiction.
3.2 E-tokens and notes
Some donations may be structured as E-tokens, which are tokenized notes backed by GoodCoins. E-tokens are held in a custodial account for a minimum of one (1) year from the donation date. The custodial period, redemption mechanics, and any associated yield are governed by the separate E-Token Agreement provided at the time of donation.
3.3 Tax shield estimates
Any tax-shield, future-value, or appreciation figures shown by our tools (including the Tax Shield Calculator) are illustrative estimates only. They do not constitute legal, tax, or financial advice. Consult a qualified tax professional for guidance specific to your situation.
4. Charities
We perform good-faith due diligence on partner charities including verification of nonprofit status, governance, and financials. However, we are not responsible for the conduct of charities, their use of donated funds, or representations they make to donors. Charities are independent legal entities.
5. Account security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access at security@good-coins.com.
6. Prohibited activities
You agree not to:
- Use the Service for any illegal purpose or in violation of applicable laws including anti-money-laundering and sanctions regulations;
- Attempt to gain unauthorized access to the Service, other accounts, or supporting infrastructure;
- Interfere with the operation of the Service or attempt to disrupt other users;
- Impersonate any person, charity, or entity;
- Use the Service to launder funds, evade taxes, or finance illegal activity.
7. Intellectual property
The Service, including all content, features, logos, and software, is owned by GoodCoin & Eleos and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
8. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. CRYPTOCURRENCY VALUES ARE VOLATILE AND MAY GAIN OR LOSE VALUE BETWEEN DONATION AND DELIVERY TO THE CHARITY.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODCOIN & ELEOS, ITS AFFILIATES, OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
10. Indemnification
You agree to defend, indemnify, and hold harmless GoodCoin & Eleos from any claims, damages, or expenses arising out of your use of the Service or your violation of these Terms.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms. Donations already submitted are not refunded except where required by law.
12. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. Any dispute will be resolved by binding arbitration in Delaware, except that either party may seek injunctive relief in court for intellectual-property matters.
13. Changes to these terms
We may revise these Terms from time to time. Material changes will be communicated by email or through the Service. Continued use of the Service after revisions constitutes acceptance.
